PLEASE READ THESE TERMS OF USE ("TERMS") CAREFULLY BEFORE USING THIS WEBSITE. BY ACCESSING OR USING www.parkingskillz.com OR SUBMITTING THE WAITLIST FORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SITE.

1. Parties and Acceptance

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and ParkingSkillz, Inc., a Delaware corporation ("ParkingSkillz," "we," "our," or "us"). By using the Site or submitting the waitlist form, you represent that: (i) you are at least 16 years of age; (ii) you are eligible to hold a valid motor vehicle driver's license; (iii) you have read and agree to these Terms and our Privacy Policy (incorporated herein by reference); and (iv) you have the legal capacity to enter into a binding contract.

2. Description of the Site

The Site is an informational and waitlist registration platform for ParkingSkillz, a parking-related technology product currently in pre-launch development. The Site allows prospective users to register their email address and location preferences to receive updates about the product. No product or service is offered, sold, or guaranteed through the Site at this time. Registration on the waitlist does not guarantee access to any product, service, pricing, or feature.

3. Eligibility and Age Restriction

THE SITE IS INTENDED SOLELY FOR USERS WHO ARE AT LEAST 16 YEARS OF AGE. By using the Site, you represent and warrant that you are at least 16 years old. If you are under 16, you are not permitted to use the Site or provide any information to us. We reserve the right to terminate or restrict access for any user we have reason to believe does not meet this age requirement.

4. Waitlist Registration

By submitting the waitlist form, you agree to the following:

  • You are providing accurate, current, and complete information.
  • You consent to receive email communications from ParkingSkillz relating to the product, including launch announcements and updates. You may unsubscribe at any time.
  • You consent to the collection and use of your information as described in our Privacy Policy.
  • Waitlist position does not confer any rights, guarantees, or priority access to any product or service.
  • We may modify, suspend, or terminate the waitlist program at any time without notice or liability.

5. Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, images, data compilations, software, and the overall look and feel of the Site — is the exclusive property of ParkingSkillz, Inc. or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial purposes of evaluating the ParkingSkillz product. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, or otherwise exploit any content from the Site without our prior written consent.

6. Prohibited Conduct

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms
  • Submit false, misleading, or fraudulent information
  • Use automated scripts, bots, scrapers, or crawlers to access or interact with the Site
  • Attempt to probe, scan, or test the vulnerability of the Site or circumvent any security measures
  • Transmit any malware, viruses, or other harmful code
  • Interfere with or disrupt the integrity or performance of the Site
  • Collect or harvest any personally identifiable information from the Site
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the Site in any manner that could damage our reputation or the rights of any third party

7. Third-Party Services and Links

The Site integrates with and links to third-party services including mapping providers, analytics platforms, and email delivery services. These services are governed by their own terms of service and privacy policies, which we encourage you to review. We are not responsible for the content, practices, or policies of any third-party service. Your use of third-party services is at your own risk.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION PROVIDED THEREON ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PARKINGSKILLZ, INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SITE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PARKINGSKILLZ, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS EXCEED ONE HUNDRED U.S. DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless ParkingSkillz, Inc., its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles, except that any claims governed by specific state consumer protection statutes (including New York General Business Law) shall be governed by the law of the applicable jurisdiction.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site that cannot be resolved informally shall be submitted to binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, with the arbitration conducted in New York County, New York, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE THE RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.

12. Modifications to the Site and Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If we make material changes, we will provide notice by email or by posting the updated Terms on the Site with a new Effective Date. Your continued use of the Site after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

We reserve the right to modify, suspend, or discontinue the Site or the waitlist program at any time, with or without notice, and without liability to you.

13. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ParkingSkillz regarding your use of the Site and supersede all prior agreements.

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.

No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.

Force Majeure: We will not be liable for any failure or delay in performance due to causes beyond our reasonable control.
